This document contains both the Terms of Service and the Privacy Policy for the use of Companies House IM. Please read both sections carefully. By creating an account or using our services, you agree to be bound by these terms.

1. Introduction and Acceptance of Terms

These Terms of Service ("Terms") govern your use of the website, services, and applications (collectively, the "Service") provided by Katz Elm Group Limited (the "Service Provider", "we", "us", "our"), a company incorporated in England and Wales (registered number: 15444180), operating as a foreign company in the Isle of Man (company number: 006511F) under the trading name Companies House IM.

2. Service Description

Companies House IM provides an enhanced user interface for the official Isle of Man Companies Registry. Our Service retrieves data under the Open Government License and allows users to subscribe to updates for specific companies. Features include individual subscriptions and team-based subscriptions where all team members receive notifications.

3. Eligibility

To use this Service, you must be of the age of majority in both the United Kingdom and the Isle of Man. By creating an account, you represent and warrant that you meet this age requirement.

4. Subscriptions, Billing, and Payment

Free Tier: Individual users may subscribe to one (1) company free of charge.
Paid Subscriptions:
- Individual: Subscribing to more than one company costs £2.00 per additional company, per 30-day period.
- Team: Following a company as part of a team costs £2.50 per company, per 30-day period.
Usage-Based Billing: Our billing is usage-based. We will report the daily count of your active company subscriptions to our payment processor, Stripe. Charges are calculated daily as follows:
- Individual subscription: £2.00 / 30 per day.
- Team subscription: £2.50 / 30 per day.
- The monthly prices stated are based on an average 30-day month. Your actual bill may vary depending on the number of days in the billing cycle and your subscription changes.
Payment: All payments are processed by Stripe. You agree to provide and maintain current, complete, and accurate billing information.

5. User Responsibilities and Restrictions

Data Verification: The information on our Service is sourced from the official IOM Companies Registry. While we strive for accuracy and timeliness, we make no guarantees. It is your sole responsibility to verify any information with the upstream official registry, especially if you are relying on it for critical decisions.
Prohibited Use: You may not scrape, systematically download, or use any automated means to access the Service or its data. Use of any APIs is strictly prohibited without our express written permission.
Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

6. Intellectual Property

All content, features, and functionality on the Service, including but not limited to text, graphics, logos, software, and user interface elements, are the exclusive property of the Service Provider or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any part of the Service without our express written permission.

7. Termination and Suspension

We reserve the right, at our sole discretion, to suspend or terminate your account and access to the Service without notice or liability, for any reason, including but not limited to:

A breach of these Terms.
Failure to make timely payments.
Actions deemed harmful to the Service, its infrastructure, or other users.
As otherwise permitted or required by law.

8. Disclaimers and Limitation of Liability

"As Is" Service: The Service is provided on an "as is" and "as available" basis. The Service Provider disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, reliability, or non-infringement.
No Guarantee of Timeliness or Delivery: We will endeavour to provide updates as soon as they are detected but make no guarantees regarding the timeliness of notifications or the successful delivery of emails.
Limitation of Liability: In no event shall the Service Provider, its directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to, use of, or inability to use the Service.
- Any content obtained from the Service.
- Unauthorized access or use of your account or data.
  This limitation of liability applies whether the claim is based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damage.
Indemnification: You agree to defend, indemnify, and hold harmless the Service Provider and its directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from your use of and access to the Service, or your violation of these Terms.
Sole Recourse: If you are dissatisfied with any aspect of the Service, your sole and exclusive remedy is to discontinue use of the Service and cancel your subscriptions.

9. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the Isle of Man, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the courts of the Isle of Man.

10. Modifications to Terms and Pricing

We reserve the right, at our sole discretion, to modify or replace these Terms or our pricing at any time. We will provide reasonable notice of any material changes by posting the new terms on our website and/or by sending an email notification to you. Your continued use of the Service after such modifications constitutes your acceptance of the new Terms and/or pricing.

11. Consent to Electronic Communications

By creating an account on Companies House IM, you consent to receiving essential service-related emails from companieshouse.im and the Service Provider, including but not limited to account notices, billing information, and updates about the Service.

1. Introduction
